Definitions

• "Account" means the account created by a User to access the Services provided by PayInfinity
• "Applicable Laws" means all relevant laws, regulations, guidelines, and rules governing the use of the Services.
• "Merchant" means any entity using PayInfinity’s Services to accept payments.
• "Services" means payment processing, APIs, dashboards, integrations, and associated financial technology services provided by PayInfinity

Eligibility

You represent and warrant that you are:

• At least 18 years of age.
• Capable of entering into legally binding contracts under applicable law.
• Using the Services for business or commercial purposes only.

We reserve the right to refuse access to the Services without prior notice at our sole discretion.

Scope of Services

PayInfinity provides payment gateway services enabling Merchants to process payments made by their customers.

We act solely as a service provider and do not hold funds on behalf of Users or Merchants. PayInfinity is not a bank, payment institution, or money service business.

Account Registration and Obligations

You must provide accurate, complete, and updated information to register for the Services. You are responsible for maintaining the confidentiality of your login credentials and any activity under your Account.

You agree to notify PayInfinity immediately in the event of any unauthorized access to your Account.

Prohibited Activities

You agree not to use the Services for activities including but not limited to:

• Money laundering, terrorism financing, fraud, or other criminal activities.
• Sale of prohibited goods and services as defined under Applicable Laws.
• Activities that may harm PayInfinity’s reputation or operations.

We reserve the right to suspend or terminate your Account for engaging in any prohibited activities.

Fees and Payment

Use of the Services is subject to applicable fees and charges, as specified in your Merchant Agreement or communicated separately.

PayInfinity reserves the right to revise its fees at any time by providing prior notice. All fees are exclusive of applicable taxes unless otherwise stated.

Settlement and Payouts

Payouts will be made to the Merchant’s designated bank account as per the agreed settlement cycle.

We reserve the right to delay or withhold settlements in case of suspected fraud, violations of these Terms, or regulatory requirements.

Intellectual Property

PayInfinity retains all ownership rights, title, and interest in and to its Services, logos, trademarks, website, software, and content.

You may not copy, reproduce, distribute, or create derivative works without prior written consent from PayInfinity.

Data Protection and Privacy

Your use of the Services is subject to PayInfinity’s Privacy Policy.

We will process personal information in accordance with Applicable Laws.

Third-Party Services

PayInfinity may integrate with services provided by third parties.

We are not responsible for the performance, availability, or security of third-party services.

Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied.

PayInfinity disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, PayInfinity shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Our total aggregate liability for any claims arising out of or relating to the Services shall not exceed the total fees paid by you in the preceding six (6) months.

Indemnification

You agree to indemnify, defend, and hold harmless PayInfinity and its affiliates from any claims, losses, damages, liabilities, costs, and expenses arising out of:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any Applicable Laws or third-party rights.

Suspension and Termination

We reserve the right to suspend or terminate your access to the Services immediately without notice in the event of:

• Breach of these Terms.
• Engagement in prohibited activities.
• Compliance with Applicable Laws or regulatory requirements.

Upon termination, your right to use the Services shall cease immediately, and any outstanding obligations shall survive termination.

Amendments

PayInfinity reserves the right to modify these Terms at any time.

Updates will be posted on the Website, and your continued use of the Services following such changes constitutes acceptance of the modified Terms.
